Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Cereby (“Cereby,” “we,” “us,” or “our”) and govern your use of the Cereby web application at cereby.ai (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your account
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate information when you sign up and to keep that information up to date. Notify us promptly at support@cereby.ai if you suspect any unauthorized access.
3. Acceptable use
You agree not to:
- Submit content that infringes on any intellectual property, privacy, or other rights of another person.
- Submit content that is unlawful, threatening, defamatory, obscene, or sexually explicit, or that depicts the exploitation of minors.
- Attempt to reverse engineer, scrape, or otherwise misuse the Service or interfere with its operation.
- Use the Service to develop a competing product, train a competing model, or violate the terms of any AI model provider we rely on.
- Submit malware, attempt unauthorized access to other accounts, or engage in any activity that disrupts the Service for others.
- Use the Service to engage in academic dishonesty in a manner prohibited by your school or institution.
We may suspend or terminate accounts that violate these rules. We may also remove content we believe in good faith violates these Terms or applicable law.
4. Your content
You retain all ownership rights to the notes, documents, files, and other content you submit to the Service (“Your Content”). You grant Cereby a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely for the purpose of operating and improving the Service for you. We do not use Your Content to train generalized AI models.
5. AI-generated output
The Service uses third-party AI models to generate study materials (summaries, flashcards, transcripts, etc.) from your inputs. AI output may contain errors, omissions, or biases. You are responsible for reviewing AI-generated output before relying on it for academic, professional, medical, legal, or financial decisions. The Service is a study aid — not a substitute for professional advice or for your own academic work.
6. Subscriptions, billing, and refunds
Some features require a paid subscription. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. Payments are processed by Stripe and are non-refundable except where required by law.
7. Free tools and third-party content
Some tools (such as the AI humanizer, AI detector, and file converter) are made available without an account. We do not guarantee continuous availability of free tools and may rate-limit or remove them at our discretion. The Service may also link to or display third-party content; we are not responsible for the accuracy, reliability, or legality of that content.
8. Intellectual property
The Service — including its software, design, branding, and content we create — is owned by Cereby and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service for violation of these Terms, suspected fraud, prolonged inactivity, or if we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. We do not guarantee the accuracy of AI-generated output or that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, Cereby will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of your use of the Service. Our total liability for any claims relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to liability, and (b) US $100.
12. Indemnification
You agree to indemnify and hold Cereby harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
14. Changes to these Terms
We may revise these Terms from time to time. When we make material changes, we will notify you by email or through the Service before the changes take effect, and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
